TERMS OF SERVICE

Website Advertising: 

Searchlite Ltd will use its efforts and expertise to provide internet based advertising specified in this agreement.  Any materials submitted by the advertiser must in an acceptable form for application by Searchlite Ltd.

Indemnity:

The advertiser has authority and represents to Searchlite Ltd, and Third Parties, that they hold all necessary rights to permit the use of the information and material provided to Searchlite Ltd for the purpose of this Agreement.  The advertiser also agrees that the use, transmission, advertisement, distribution, reproduction, users information, products, services and materials provided or linked through the advertisement do not:  (i) violate criminal laws or rights of third parties (ii) contain any material that is unlawful or otherwise offensive or encourages criminal conduct.  The advertiser agrees to indemnify and defend Searchlite Ltd against any claims or liability for any breach of these conditions.  It is also agreed that Searchlite Ltd will not be held responsible or liable for any claims arising from or related to any breach of these conditions.

Confidentiality:

“Confidential Information” shall mean any and all technical and non-technical information related to any services provided by either party to the other, including but not limited to (i) the terms of the agreement (ii) trade secrets (iii) copyrighted information (iv) proprietary information (v) any information provided in writing or verbally and identified as confidential at time of disclosure.  For the full term of this agreement and for a further period of one year, both parties agree not to use or disclose any confidential information of the other party except as specified.  The previous restriction does not apply if the information (i) written approval for its release provided by the disclosing party (ii) required for by legal authority (iii) is independently developed without access to the other parties confidential information (iv) is public knowledge through no breach by the receiving party of this section (v) has been received from a third party with authorisation to do so.

Intellectual Property Rights:

Neither party will acquire any ownership interest in each other’s intellectual property.  Searchlite Ltd has the right to use the advertiser’s logo, trade name and trademark on any advertising for other use in order to carry out this agreement, including using the advertising name in Searchlite Ltd media kit or advertising literature. 

Liability:

Searchlite Ltd will not be held liable under this agreement for any consequential lost of profits, lost of sales or other damages directly or indirectly based on contract, tort or otherwise.  Searchlite Ltd cannot be held liable for any act, omission or event directly or indirectly resulting from, any act, omission or event, of third parties.  Any claim to Searchlite Ltd under this agreement will be limited to the full amount received from the advertiser.

Force Majeure:

It is hereby agreed that neither Searchlite Ltd or the advertiser can be held responsible for any failure or delay in its services or performance due to any cause beyond their control, including strikes, war, riot, civil commotion, government acts, terrorist activity, acts of god, internet interruption.

Payment:

The advertiser shall pay the agreed fee to Searchlite Ltd on signing of this agreement.  This fee covers a 12 month period from signing of the agreement.   In the event of roll over to a new 12 month period the advertiser agrees to pay Searchlite Ltd within 28 days of any renewals fees becoming due.  The renewal fees due for the new period may be increased at the discretion of Searchlite Ltd.

Cancellations:

If the advertiser cancels the agreement in whole or part before the expiry date then no refund will be given.

Termination:

This Agreement may be terminated without prejudice to clause (renewal) and without liability to Searchlite Ltd if any of the following circumstances arise:  Where the actions of the advertiser is likely to have a serious or detrimental effect upon the business, products and affairs of Searchlite Ltd.  Where the advertiser is unable to pay or has no reasonable prospects of paying their debts to Searchlite Ltd.  In the event of termination the advertiser shall remain liable for any amount due to Searchlite Ltd and any obligation to pay shall survive the termination of the agreement.  Upon request of the disclosing party, the receiving party shall return any confidential information they have to the disclosing party.

General Notes & Notices:

This agreement shall be in duplicate, each part of which shall be deemed an original document, but together shall constitute a single agreement.   Facsimile signatures will be accepted provided payment in full is received by Searchlite Ltd.  This agreement is not transferable to any third parties unless previously agreed in writing with Searchlite Ltd.  Any attempt to so without prior agreement will result in immediate termination, without liability to Searchlite Ltd.  This agreement sets out the entire agreement and understanding of both parties and supersedes any previous written or verbal agreements.  Each party agrees to the contents of this agreement which cannot be modified or amended unless duly authorised in writing by both part  This Agreement will be entered into in Cyprus and will be governed by and in accordance with the laws of Cyprus.  In the event of any dispute, each party shall bear its own legal costs and fees.
